Governance

How we hold ourselves accountable.

No compensated directors

No director or officer of Discovery Hub Foundation receives any compensation, salary, stipend, or expense reimbursement from the Foundation. Our board serves entirely as volunteers.

Conflict of interest policy

Article IX of our Bylaws requires every director to disclose any financial interest in a proposed transaction and to recuse themselves from the vote. Each director signs an annual disclosure statement.

Related party disclosure

Our Treasurer, Jayaprakasam Siddian Thiruna, owns Discovery Hub Education and Discovery Hub Therapies, which are separate for-profit businesses. Discovery Hub Foundation is a legally and financially independent entity. No transactions between the Foundation and those businesses are currently in place. Should any be proposed, our policy requires fair market value terms, a written agreement, approval by disinterested directors only, and documentation in the board minutes.

Family board disclosure

Our three directors are members of the same family. We disclose this openly, it is reported to the IRS, and we are actively recruiting independent directors to broaden our governance.

Separate finances

The Foundation maintains its own bank account, its own books, and its own EIN. Foundation funds are never commingled with personal or business accounts.
